Terms of Service

1. Services Provided
BizieBiz LLC (“BizieBiz”) provides marketing, consulting, and digital services, which may include, but are not limited to:
- Consulting to optimize the client’s presence on Yelp, Google, and other online platforms
- Management of Yelp, Google, and other business profiles/accounts
- Strategic guidance on marketing strategies and customer acquisition
- Setup and management of profiles on HelloNeighbor.info and other directories
- Consulting and guidance on sponsored ads and pay-per-click campaigns (e.g., Yelp, Google, Facebook)
- CRM, automation, and communication system setup (including email, SMS, and lead workflows)
2. Compensation
- Client agrees to pay the monthly fee outlined in the invoice or subscription agreement
- Payment is due upon signup and every 30 days thereafter
- All payments are non-refundable
3. Fees & Payment Terms
- Fees are fixed during any agreed commitment period but may be updated with 30 days’ written notice
- Payments are due in advance of services
- Past-due accounts may be subject to collections, including reasonable attorney’s fees
- Client authorizes BizieBiz to automatically charge any payment method on file
- BizieBiz may update payment details if notified by the financial institution
4. Term & Termination
- Services are provided on a month-to-month basis unless otherwise stated in writing
- Either party may terminate services with at least 7 days’ written notice prior to the next billing cycle
- No refunds will be issued for partial billing periods
5. Scope of Consulting
- Consulting services include up to 90 minutes per billing cycle for research, updates, consultations, reporting, and communication
- Time allocation is at the sole discretion of BizieBiz
- Unused time does not roll over
6. Website Design & Delivery
- BizieBiz may design and deliver a custom website including essential pages
- A walkthrough may be provided upon completion
No Guarantees:
BizieBiz does not guarantee increased traffic, leads, sales, or conversions
Security:
Security measures such as SSL may be implemented; however, BizieBiz does not guarantee protection from cyber threats or breaches
Maintenance & Hosting:
- Client is responsible for ongoing maintenance unless subscribed to a hosting or support plan through BizieBiz
- Hosting may be included in certain plans or billed separately
Ownership:
- Websites and related assets remain the property of BizieBiz unless otherwise agreed in writing
- Client is granted a limited license to use the website while services remain active
- If services are canceled, continued hosting may be available for up to $29.95/month
- Ownership transfer may be available for a one-time fee of up to $250 at BizieBiz’s discretion
7. Client Responsibilities
Client agrees to:
- Provide accurate, original content, images, and business information
- Ensure all provided materials comply with applicable laws and regulations
- Provide necessary access to platforms, accounts, and tools when required
- Promptly notify BizieBiz of any errors, updates, or changes
8. Post-Completion Changes
- Any modifications or updates requested after project completion may be billed at up to $50 per hour
9. Profile Management
- BizieBiz may manage listings on platforms such as Yelp, Google, and HelloNeighbor.info
- Services may include keyword optimization, ad adjustments, content updates, and category changes
- Includes up to 30 minutes per billing cycle
- Unused time does not roll over
10. Automation Tools & CRM Disclaimer
BizieBiz may provide access to CRM systems, automation tools, and communication platforms (“Software Tools”), including but not limited to email, SMS, and lead management systems.
- Client acknowledges that effective use of these tools requires participation, content input, and ongoing engagement
- BizieBiz provides onboarding and limited support, but does not guarantee performance or results
- Client is responsible for how the tools are used once implemented
- BizieBiz is not liable for misuse, lack of use, or results generated from these systems
- Features not utilized by the client do not qualify for refunds
11. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of this agreement.
12. Ownership & Intellectual Property
- All intellectual property created by BizieBiz remains the property of BizieBiz
- Client is granted a limited, non-transferable license to use deliverables solely during the term of active service
13. Limitation of Liability
- BizieBiz shall not be liable for any indirect, incidental, or consequential damages
- Total liability shall not exceed the total amount paid by the client in the previous three (3) months
14. Warranties & Guarantees
BizieBiz makes no guarantees regarding specific outcomes, including but not limited to search rankings, lead generation, or revenue increases.
15. Refund Policy
- All sales are final
- No refunds will be issued for marketing, consulting, automation, or profile management services
16. Cancellations
- No cancellations are permitted during any agreed commitment period
- Month-to-month services must be canceled at least 7 days prior to the next billing cycle
- No refunds will be issued for partial service periods

17. Arbitration
- Any disputes shall be resolved through binding arbitration
- Arbitration will take place in The Woodlands, Texas
- Proceedings will be conducted in English
- Decisions are final and binding
- Each party shall bear its own costs unless otherwise determined
- Both parties waive the right to a jury trial or class action
18. Governing Law
This agreement shall be governed by the laws of the State of Texas, with jurisdiction in Harris County, Texas.
19. SMS Messaging Terms & Compliance
Program Description:
BizieBiz may send appointment confirmations, reminders, updates, and customer support messages to users who opt in via website forms, scheduling tools, or other consent methods.
Opt-Out Instructions:
You may opt out at any time by replying “STOP” to any message. You will receive confirmation of your unsubscribe status.

Additional Terms:
- Message and data rates may apply
- Message frequency varies based on usage and engagement
- Carriers are not liable for delayed or undelivered messages

BizieBiz complies with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines.
20. Entire Agreement
This document constitutes the full agreement between the parties and supersedes all prior agreements. Any amendments must be in writing and agreed upon by both parties.
