Services Provided By Our Company

he agency agrees to provide marketing and consulting services as outlined in the attached invoice, which may include but is not limited to:
Consulting services to optimize the Client's presence on Yelp, Google, and other relevant online platforms.
Management of Client's Yelp and Google pages and accounts to enhance visibility, reputation, and customer engagement.
Strategic guidance on marketing strategies and tactics to drive customer acquisition and business growth.
Setting up, managing, and optimizing the Client's presence on HelloNeighbor.info, including creating and updating the business profile and listings.
Consulting services, including advice and strategic recommendations, to help and enhance the client's sponsored ads, and pay-per-click campaigns on Yelp, Google, and Facebook.

Client agrees to remit the agreed-upon monthly fee to the Agency, as indicated in the invoice attached, for the services provided. Payment is required promptly upon signing this agreement, before commencement of any work, and subsequently on the same day of every 30-day cycle starting immediately after invoice is paid. All fees and expenses are non-refundable.

The client will pay Biziebiz LLC the fees specified in each Purchase Order for the duration of its term. The fees are fixed for the duration of the Commitment Period specified in each Purchase Order but may be modified by Biziebiz LLC thereafter by providing one (1) month's prior written notice to the Client. All fees are net of any taxes the Client may be required to pay in its taxing jurisdiction. Payments are due in advance of the period for which they apply, or as otherwise set forth in the applicable Purchase Order. Unpaid amounts or errors may be billed in subsequent invoices. If Client's payment method fails or Client's account is past due, Biziebiz LLC may collect past due amounts using other collection mechanisms, and Client agrees to pay all expenses associated with such collection, including reasonable attorney's fees.

If Client provides Biziebiz LLC with a credit card, debit card, or bank account information, Client authorizes Biziebiz LLC to use such payment information to automatically charge Client on a recurring basis to collect all fees due hereunder. The client represents that he or she is authorized to incur charges against the payment card used to purchase services. The form of payment cannot be changed or altered unless all amounts due under the terms have been paid in full or otherwise agreed to by the parties in writing.

Biziebiz LLC will update the Client's payment card information if Biziebiz LLC is notified by the client's bank or credit card provider that the payment card information has changed or has been updated.

Upon the completion of the contract term, your subscription will automatically renew on a month-to-month basis for all services. Either party may terminate a month-to-month agreement by providing written notice to the other party at least 7 days before the next billing date.

The agency's consulting services may include but are not limited to, providing advice, strategic recommendations, and guidance related to the client's sponsored ads, pay-per-click campaigns, and online marketing efforts on platforms such as Yelp, Google, HelloNeighbor.info, and Facebook. The extent of the Agency's involvement, hours dedicated, and changes/updates to the client's site or profiles may vary each month based on Biziebiz's discretion and the specific needs of the Client. Our consulting service includes up to 90 minutes per billing cycle for research, profile updates, phone consultations, drafting reports, and emails. The actual time allocated to each campaign may vary at the discretion of Biziebiz LLC. The monthly bill for this service is a fixed cost, and you are responsible for paying the full subscription fee at the start of each billing cycle. Please note that any unused consulting time does not carry over to the next billing cycle.

BizieBiz will design and develop a custom website for your business, including essential pages such as Services and Contact Us. Upon completion, we offer a walkthrough to familiarize you with the new website.
Our services focus on design and development; they do not guarantee increased sales, conversions, or specific business outcomes.
Security Measures:

We can install SSL certificates and implement the latest security measures to protect your website. However, we cannot guarantee that your website will be immune to security breaches, especially if hosted on platforms like WordPress.
Website Maintenance & Hosting:

Once your website is built, you are responsible for its ongoing maintenance.
To keep your website active, you must maintain hosting services. Alternatively, you may choose a consulting membership, which includes hosting fees.
Ownership & Subscription:

Upon completion, the website remains the property of BizieBiz LLC. Your business is granted the right to use the website as long as your monthly subscription is active and in good standing. If you choose to cancel your consulting subscription, you may continue using the website for a hosting fee of up to $29.95 per month.
If you wish to transfer ownership of the website to your own hosting, BizieBiz LLC offers a one-time transfer fee of up to $250. We reserve the right to refuse the transfer request.
Client Responsibilities:

All content and images you provide for the website must be original and not infringe on any third-party rights. BizieBiz is not liable for any fees or penalties incurred due to the use of unlicensed or unauthorized content.
You are responsible for ensuring that all website information is accurate, legal, and compliant with your local county and state regulations. If you notice any errors or need updates, please notify us promptly so we can address them.
Post-Completion Changes:

If you wish to make any modifications to the website after it has been completed and delivered, BizieBiz reserves the right to charge a fee of up to $50 per hour for these changes.

Biziebiz LLC offers comprehensive management services for your business listings on popular local directories like Yelp, Google, and HelloNeighbor.info. We handle tasks such as keyword selection, service area optimization, ad performance improvement, portfolio completion, blog updates, category selection, and contact information updates. Our profile/blog management service provides up to 30 minutes of labor per billing cycle for profile updates, phone consultations, and research. The actual time allocated to each campaign may vary at the discretion of Biziebiz LLC. The monthly bill for this service is a fixed cost, and you are accountable for paying the full subscription fee at the start of each billing cycle. Please note that any unused consulting time does not carry over to the next billing cycle.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of this Agreement, including but not limited to business strategies, customer lists, and trade secrets. This obligation shall survive the termination of this Agreement.

Any intellectual property created or developed by the Agency during the provision of services under this Agreement shall remain the property of the Agency unless otherwise agreed upon in writing. Client shall have a limited, non-transferable, non-exclusive license to use any deliverables or materials provided by Agency solely for the purpose of the agreed-upon marketing and consulting services.

Agency shall not be liable for any indirect, special, incidental, or consequential damages arising out of or relating to this Agreement, even if advised of the possibility of such damages. The maximum liability of Agency to Client shall not exceed the total amount paid by Client to Agency under this Agreement during the preceding three months.

Biziebiz LLC cannot guarantee specific results from advertising, consulting services, or any advice or recommendations provided. We want to emphasize that our consulting services are intended to offer advice and strategic recommendations, but we cannot guarantee any particular outcomes or results. Please be aware that no guarantees are offered by Biziebiz LLC in writing or implied. It is important to understand that the success of your advertising campaigns and overall business performance may depend on various factors beyond our control.

At Biziebiz LLC, we pride ourselves on delivering high-quality marketing, consulting, and profile management services to our valued clients. Please be advised that all sales are final, and we maintain a strict no-refund policy for any marketing, consulting, or profile management services rendered. We encourage you to thoroughly evaluate our offerings and ask any questions before making a purchase decision. We are here to address any concerns and provide clarifications to ensure that you are confident in engaging our services.

We do not offer cancellations within the contract term outlined in this agreement, nor do we provide refunds for any payments. Only subscriptions that have completed the contract term and transitioned to a month-to-month agreement may be canceled. All subscriptions must be canceled at least 7 days before the next billing period. If you have paid for your services in advance and choose to cancel partway through your term, no refunds will be issued.

We kindly request that you provide notice of cancellation at least 7 days prior to the start of the next billing period. Any disputes, claims, or controversies arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through binding arbitration. Arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) or another mutually agreed-upon arbitration service.

The arbitration shall take place in The Woodlands, Texas, and shall be conducted in English. The arbitrator’s decision shall be final and binding on all parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

All fees and expenses related to the arbitration, including but not limited to the arbitrator's fees and administrative costs, shall be borne by the customer.

By agreeing to this arbitration clause, both parties waive their right to a jury trial or to participate in a class action lawsuit.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

This Agreement shall be governed by and construed in accordance with the laws of Texas. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Harris County, Texas.

This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements, understandings, or representations. Any amendments or modifications to this Agreement must be in writing and signed by both parties.
